In the event that the staff appointed to a new category (i.e. from AS to NS, or from NS to IS) is rated at 2 or lower in the first two performance reviews after appointment at the new level, they will return to the level occupied immediately prior to their appointment in the new category.

The position is assigned within Office of the General Counsel (OGC). OGC is responsible in protecting the legal interests of ADB and advises on methods to limit ADB’s risk exposure appropriately. It prepares or reviews documents which create, define, modify or limit the legal rights or obligations of ADB, including loan contracts, agreements and registration statements in relation thereto, and other contractual documents.

Job Purpose

The Senior Legal Officer will provide independent legal advice and support in the negotiating, processing and administration of nonsovereign financing arrangements, development of model documentation for nonsovereign transactions and other legal matters. The incumbent will report to the relevant Assistant General Counsel and/or designated International Staff and will supervise national and administrative staff.


Project Processing and Administration

· Provides independent advice and assists OGC counsel on legal aspects relating to nonsovereign operations.

· Prepares draft documents and advice on legal aspects of nonsovereign operations, including legal due diligence, preparation of financing and investment documentation, and preparing all other legal documents consistent with ADB’s internal law, lending and other operational policies.

· Maintains and updates model documentation for all ADB mandate, confidentiality, country framework agreements, adviser’s engagement agreements and risk transfer arrangements related to non-sovereign operations.

· Obtains and reviews legal origination and administration documents, including legislation that may affect non-sovereign projects. Assists in the review of and provide updates to the Report and Recommendation of the President (RRPs).

· Assists deal teams in identifying legal issues that may arise from project design, including issues related to environmental and social safeguards.

· Assists deal teams in negotiations with clients during origination and project administration, both in preparing for such negotiations and taking action further to such negotiation.

· Assists deal teams in ORM and PSOD with recovery procedures, including enforcement of security and litigation; loan restructuring and work-out matters; and disposals of ADB investments.

· Processes disbursement requests for nonsovereign debt and equity investments (including private equity funds), including checking of conditions precedent to funding and assisting with other closing procedures. Assists with administration matters, including review and mark up of waiver requests and dealing with other documentation matters throughout the term of the investment.

· Identifies law, policy and reform (LPR) issues and contributes to the development of LPR proposals and solutions.

· Contributes to OGC’s advice on enhancing ADB’s operational policies, and participates in interdepartmental analysis and complex legal issues.

Legal Research and Support

· Conducts research on legal and policy matters.

· Carries out research work on legal precedents in ADB, including supporting the formulation of legal views on nonsovereign project-related issues.

Supervisory Functions

· Plans and schedules work assignments and provides advice to subordinate staff. Coordinates training and briefing sessions to members of the team.


· Performs other duties that may be assigned. Undertakes special projects in support of OGC’s operations.


Relevant Experience & Requirements

  • Bachelor’s degree in Law and member of the Philippine Bar, or its equivalent.
  • Preferably, work experience in a multilateral financial institution, and preferably with advanced training.
  • Minimum of 8 years of relevant professional experience, with in-depth knowledge of entire project cycle from processing to implementation as well as in research-related activities.
  • Familiar with full suite of documentation typically required for cross-border debt and/or equity investments and conducting legal due diligence
  • Able to work in multi-cultural and multi-skilled teams.
  • Able to manage time to handle heavy workloads involving multiple simultaneous assignments.
  • Able to inspire trust and confidence and promote a strong culture of honesty, trust and openness.
  • Excellent written and verbal communication skills in English is required.

General Considerations

The selected candidate, if new to ADB, is appointed for an initial term of 3 years.
